Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the "Terms") govern your access to and use of the website and secure client portal operated by Waddell Accounting ("we," "us," or "our") (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
The Service is intended for use by clients of Waddell Accounting and their authorized representatives. Accounts are created by an administrator; there is no public self-registration. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use.
2. License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization's internal accounting and bookkeeping purposes. You may not copy, modify, distribute, sell, or lease any part of the Service, reverse engineer it, or use it to build a competing product.
3. Acceptable Use
You agree not to:
- Upload content that is unlawful, infringing, or that you lack the right to share;
- Attempt to gain unauthorized access to the Service or other users' data;
- Interfere with or disrupt the integrity or performance of the Service; or
- Use the Service in violation of any applicable law or regulation.
4. Your Content
You retain ownership of the documents and financial information you submit ("Your Content"). You grant us a limited, non-exclusive, revocable license to access, host, store, process, reproduce, transmit, and use Your Content solely as necessary to provide, maintain, secure, and improve the Service, comply with legal obligations, and fulfill services requested by you, including extracting data from uploaded documents and, where authorized, recording transactions in connected accounting systems. You are responsible for the accuracy of Your Content and for having the right to submit it.
5. Third-Party Services
The Service integrates with third-party platforms, including Intuit QuickBooks Online and Microsoft 365. Your use of those platforms is governed by their own terms and privacy policies. When you connect QuickBooks Online, you authorize the Service to access your QuickBooks company data as described in our Privacy Policy.
QuickBooks data is accessed and used solely for the purpose of providing bookkeeping, accounting, reconciliation, reporting, document processing, and related services requested by the customer. Waddell Accounting does not sell QuickBooks data, use QuickBooks data for advertising purposes, or use QuickBooks data for any purpose unrelated to providing the Services.
We are not responsible for third-party services or for changes they make that affect the Service.
6. Privacy
Our handling of your information is described in our Privacy Policy, which is incorporated into these Terms by reference.
7. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. The software platform itself does not provide accounting, tax, or legal advice. Professional accounting or advisory services provided by Waddell Accounting are governed by separate engagement agreements.
8. No Audit or Assurance Engagement
Unless expressly agreed in a separate written engagement letter, the Service does not constitute an audit, review, compilation, attestation engagement, or other assurance service. Users remain responsible for the completeness and accuracy of information submitted through the Service.
9. Security
We implement reasonable administrative, technical, and organizational safeguards designed to protect information processed through the Service. However, no method of electronic transmission or storage can be guaranteed to be completely secure, and we cannot guarantee absolute security.
10. Limitation of Liability
To the maximum extent permitted by law, Waddell Accounting will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months preceding the claim.
11. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or if needed to protect the Service or other users. Upon termination, your right to use the Service immediately ends. We may disable access to the Service and associated integrations, including QuickBooks Online connections. Data retention, deletion, and export rights are governed by our Privacy Policy and applicable legal or professional recordkeeping obligations.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Electronic Communications
By using the Service, you consent to receive notices, disclosures, agreements, invoices, and other communications electronically. Electronic records and signatures shall have the same legal effect as paper records and handwritten signatures to the fullest extent permitted by law.
14. Governing Law
These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Wisconsin.
